FAQ

What are the criteria for joining Comet Software?

We are continuously looking to welcome new mission-critical software companies into the group. We partner with businesses that have a loyal customer base and generate meaningful recurring revenues. Companies may be in a growth phase or already well established, typically with annual revenues between €2m and €30m and proven profitability, reflected by an EBITDA of at least €500k.

What should I expect from the audit and acquisition process?

We are committed to conducting transactions that are transparent, confidential, and efficient. During the due diligence phase, our focus is on developing a shared strategic vision for the business while validating key audit areas. The process is collaborative, pragmatic, and carried out in close partnership with management, with full transparency throughout. We can provide an indicative offer within 10 days, and a transaction typically takes around 60 days to complete.

What experience do you have in supporting vertical software companies?

Our team brings together complementary skills and deep international experience. Our backgrounds span software investing, company creation, and senior operational and strategic leadership roles within fast-growing software businesses as well as publicly listed software and systems integration groups. We partner closely with management teams to foster sustainable, long-term growth, while ensuring that each company’s culture, identity, and entrepreneurial spirit remain intact. Our portfolio companies are leaders in their respective markets and operate under fully independent management teams.

If I join Comet Software, will I lose my independence?

Preserving the autonomy of our companies is fundamental to our approach. We are convinced that management teams are best positioned to run their businesses, stay close to customers, and continuously deliver innovation and service excellence. Our model is deliberately decentralised: you and your team maintain full control over day-to-day operations, while your company retains its name, culture, and entrepreneurial DNA. As a long-term partner, we build on your expertise and complement it with access to our network and our group resources to help accelerate sustainable growth.

Will my current management team remain in place after the transaction?

Whether you wish to remain in a leadership role or to plan a transition, our experienced team will work closely with you and the management to determine the most appropriate path forward. In most cases, entrepreneurs who join us choose to stay actively involved, reflecting their confidence in the company’s long-term potential. Where a transition is desired, we partner with you to design a tailored succession plan, typically over a 6- to 18-month period. If external leadership is required, we support the search for high-calibre talent with a vision fully aligned with the business.

What impact will the acquisition have on my customers?

We partner with entrepreneurs who place their customers at the centre of their strategy and have built strong, long-standing relationships. By providing a permanent home for your company, we offer customers long-term stability, continuity, and confidence. Our commitment is to protect, strengthen, and grow these relationships over time, ensuring sustained value creation for customers, employees, and all stakeholders.

How do you support companies once they join the group?

Our model is designed to create value while remaining highly decentralised. In practice, we support our companies through four complementary levers:

1) We take over low value-added administrative and support functions tosimplify daily operations for teams.

2) We provide access to our central resources, mobilised on topics that aretruly relevant to each company: commercial, operational and technology strategy, finance, HR and recruitment, marketing, and AI.

3) We offer employees a structured environment for knowledge sharing andbest-practice exchange with other group companies, particularly on common topics such as certifications, career development paths, and operational excellence.

4) Finally, our strong financial resources allow us to support ad hoc investments and external growth initiatives whenever consolidation opportunities arise within your market.

Why should I join Comet Software today if I want to remain CEO of my company?

Most entrepreneurs who join Comet Software choose to continue leading their business after the transaction. Our approach allows founders to monetise their ownership while maintaining full day-to-day operational autonomy and benefiting from Comet Software’s group resources to support and accelerate their growth. Founders also have the opportunity to reinvest alongside us, enabling them to remain economically aligned with their company and to participate fully in the long-term value creation generated by Comet Software’s scale and platform.

Why should I reinvest within Comet Software ?

Comet Software is best understood as a network of entrepreneurial partners and co-investors rather than just a traditional industrial group. Within this framework, we offer sellers and key executives the opportunity to reinvest a portion of their proceeds alongside us. This reinvestment allows them to remain indirectly invested in their own company while actively participating in Comet Software’s entrepreneurial ambition to consolidate the European vertical software market. It also sends a strong signal of confidence in the company’s long-term prospects to both employees and customers. From a financial standpoint, co-investors gain exposure to a larger, more diversified platform under highly attractive conditions.

Are you an investment fund ?

No. Unlike traditional investment funds, Comet Software is not built around short-term exits. We are a long-term, permanent owner of vertical software companies, driven by a clear and enduring vision. This model enables us to prioritise long-term value creation over decades rather than fixed exit timelines.
